Terms of Service

1. Acceptance of Terms

By accessing or using ReviewBullzeye ("Service," "Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including business owners, administrators, and any other persons who access the Service.

2. Description of Service

ReviewBullzeye provides a software-as-a-service platform that allows business owners to send automated SMS review request messages to their customers using their own Twilio phone numbers. The Service includes customer management, message delivery tracking, and subscription billing features.

3. Subscription and Billing

The Service is offered on a subscription basis at $97 per month. New subscribers receive a 7-day free trial. You will not be charged during the trial period. After the trial ends, your subscription will automatically renew monthly at the stated rate unless you cancel before the trial period expires.

Payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method on a recurring monthly basis. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no refunds are issued for partial months.

4. SMS Messaging Terms and Twilio A2P Compliance

By using the SMS features of the Service, you agree to the following binding obligations:

4.1 Prior Express Written Consent

You must obtain prior express written consent from each individual before sending them any SMS message through the Service. This consent must clearly disclose that the recipient will receive text messages from your business, the nature of those messages, and that message and data rates may apply.

4.2 Prohibited Uses

You may not use the Service to:

• Send unsolicited messages (spam) to any individual
• Contact individuals who have previously opted out or requested to stop receiving messages
• Send messages to numbers on the National Do Not Call Registry without proper consent
• Send messages containing illegal, harassing, threatening, defamatory, or fraudulent content
• Impersonate any person or entity
• Violate any applicable federal, state, or local laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and applicable FCC regulations

4.3 Opt-Out Compliance

You must honor all opt-out requests immediately. When a recipient replies STOP, UNSUBSCRIBE, CANCEL, END, or QUIT, no further messages may be sent to that number. Opt-out requests must be processed within 10 business days.

4.4 Message Content Requirements

All SMS messages sent through the Service must include:

• Your business name or identity
• The nature of the message
• Instructions for opting out (e.g., "Reply STOP to unsubscribe")

4.5 Twilio's Acceptable Use Policy

Because the Service uses Twilio's infrastructure, you are also bound by Twilio's Acceptable Use Policy and Messaging Policy. Violations of Twilio's policies may result in suspension of your Twilio account and termination of your ReviewBullzeye subscription.

5. Your Twilio Account

You are responsible for maintaining your own Twilio account and ensuring it is properly registered for A2P 10DLC messaging where required. ReviewBullzeye is not responsible for message delivery failures, carrier filtering, or Twilio account suspensions resulting from your use of the Service or violations of Twilio's policies.

6. User Responsibilities

You are solely responsible for:

• The accuracy and legality of all customer data you upload
• Obtaining and maintaining valid consent from all message recipients
• Complying with all applicable laws and regulations
• Maintaining the security of your account credentials
• All activities that occur under your account

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of ReviewBullzeye. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

8. Termination

We reserve the right to suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in prohibited SMS practices, or if required to do so by law or our service providers. Upon termination, your right to use the Service will immediately cease.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL SMS MESSAGES WILL BE DELIVERED SUCCESSFULLY.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVIEWBULLZEYE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless ReviewBullzeye, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights, including TCPA violations.

12. Governing Law

These Terms shall be governed by the laws of the United States and the state in which ReviewBullzeye is incorporated, without regard to conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
